Adult Student Terms & Participation Agreement

Welcome to EDUQIVA Academy, Inc. (“EDUQIVA,” “Academy,” “we,” “us,” or “our”). EDUQIVA provides live online educational classes and related learning opportunities at no cost to participating students.

By registering for, accessing, or participating in an EDUQIVA class or program, you acknowledge that you are at least eighteen (18) years old and agree to these Adult Student Terms & Participation Agreement (“Agreement”).

1. ELIGIBILITY

Adult programs are available to individuals who are eighteen (18) years of age or older and satisfy any eligibility requirements established for a particular class or program.

You agree to provide accurate and current information during registration and not to create an account for another person without authorization.

EDUQIVA may establish class-specific requirements, prerequisites, capacity limits, schedules, or participation standards.

2. FREE ENROLLMENT

EDUQIVA’s student educational programs are offered free of charge unless EDUQIVA clearly states otherwise before enrollment in a particular program.

There is no tuition or membership fee required to participate in classes identified as free.

Because class space, teacher availability, and sponsorship funding may be limited, registration does not guarantee placement or continued availability in any particular class.

3. EDUCATIONAL PURPOSE

EDUQIVA provides educational and informational programs.

Unless expressly stated otherwise, EDUQIVA programs do not constitute professional certification, academic accreditation, college credit, employment training certification, legal advice, financial advice, medical advice, or other licensed professional services.

4. NO GUARANTEE OF EDUCATIONAL OUTCOMES

EDUQIVA strives to provide high-quality educational experiences but does not guarantee any particular result from participation.

Individual learning outcomes depend on many factors, including attendance, participation, effort, prior knowledge, instructor availability, and the nature of the subject.

EDUQIVA does not guarantee academic improvement, language proficiency, employment, admission to an educational institution, professional advancement, certification, income, or any other specific outcome.

5. STUDENT CONDUCT

Students must behave respectfully and appropriately toward instructors, staff, volunteers, guests, sponsors, and other students.

6. ONLINE CLASS RULES

Students must follow reasonable instructions provided by EDUQIVA instructors and staff.

Students are responsible for maintaining appropriate internet access, equipment, software, and a suitable environment for participating in online classes.

Login information, meeting links, passwords, and access credentials provided for a class are intended only for authorized participants and may not be publicly posted, transferred, sold, or distributed without EDUQIVA’s permission.

Students may not record, photograph, screenshot, livestream, reproduce, or distribute a class or another participant’s image, voice, comments, messages, or personal information without authorization from EDUQIVA and, where applicable, the affected individual.

7. VIDEO, AUDIO, AND ONLINE CLASSROOM PARTICIPATION

Classes are conducted using Microsoft Teams. EDUQIVA may use other third-party communication platforms where reasonably necessary.

Depending on the class, students may be invited or required to participate through audio, video, chat, screen sharing, or other interactive features.

By participating with a microphone or camera enabled, you understand that your name, image, voice, background, comments, or other information you choose to display may be visible or audible to instructors and other class participants.

You are responsible for choosing an appropriate environment and for avoiding the display or disclosure of sensitive or private information in your surroundings.

EDUQIVA may establish additional camera, microphone, display-name, or participation requirements for particular programs.

8. CLASS RECORDINGS

EDUQIVA will notify participants when a class or session is being recorded when required by applicable law or EDUQIVA policy.

Unless separate permission or another lawful basis applies, participation in EDUQIVA does not by itself grant EDUQIVA an unrestricted right to use a student’s name, image, likeness, or identifiable recording for advertising or promotional purposes.

EDUQIVA may provide a separate media or publicity consent when appropriate.

9. INTELLECTUAL PROPERTY

Course materials, presentations, lesson plans, graphics, videos, documents, software, trademarks, logos, website materials, and other content provided by EDUQIVA or its instructors may be protected by intellectual-property laws.

Unless EDUQIVA expressly provides otherwise, materials are provided for the student’s personal, noncommercial educational use.

Students may not sell, republish, reproduce, distribute, commercially exploit, or create unauthorized derivative works from protected EDUQIVA materials.

Nothing in this Agreement transfers ownership of EDUQIVA intellectual property to a student.

10. THIRD-PARTY SERVICES

EDUQIVA may use third-party platforms and services to provide classes, registration, communications, or other functionality.

Those services may have their own terms of service and privacy practices. Your use of a third-party platform may therefore also be subject to that provider’s terms and policies.

EDUQIVA is not responsible for outages, technical failures, security incidents, or other acts or omissions of independent third-party service providers except to the extent responsibility cannot lawfully be excluded.

11. PRIVACY ACKNOWLEDGMENT

EDUQIVA collects and processes certain information necessary to operate its website, administer registrations, communicate with students, deliver educational programs, maintain security, and improve its services.

By accepting this Agreement, you acknowledge that you have been provided access to EDUQIVA’s Privacy Policy and understand that your personal information will be handled as described in that policy and as required by applicable law.

Acceptance of this Agreement does not constitute consent to data practices for which applicable law requires separate consent.

12. ATTENDANCE AND CLASS AVAILABILITY

Students are encouraged to attend registered classes consistently and on time.

EDUQIVA may establish attendance requirements, waitlists, or cancellation procedures to make limited class spaces available to other students.

EDUQIVA may modify instructors, schedules, class sizes, course content, platforms, or program availability when reasonably necessary.

EDUQIVA may postpone or cancel a class because of instructor availability, technical problems, insufficient enrollment, loss or change of sponsorship, operational requirements, force majeure, or other circumstances.

13. SUSPENSION OR REMOVAL

EDUQIVA may warn, suspend, restrict, or remove a participant from a class or program for violation of this Agreement, misconduct, repeated disruption, misuse of EDUQIVA services, safety or privacy concerns, or other legitimate operational reasons.

Serious misconduct may result in immediate removal.

Because EDUQIVA programs are provided free of charge, removal from a program ordinarily does not create any entitlement to payment, reimbursement, or compensation.

14. ASSUMPTION OF RESPONSIBILITY

You are responsible for deciding whether a particular EDUQIVA class or activity is suitable for you and for how you use information obtained through EDUQIVA.

You remain responsible for your own decisions, actions, equipment, internet connection, physical environment, and participation.

15. DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUQIVA PROGRAMS, CLASSES, MATERIALS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EDUQIVA DOES NOT MAKE WARRANTIES REGARDING UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, THE ACCURACY OR COMPLETENESS OF ALL EDUCATIONAL CONTENT, OR ANY PARTICULAR EDUCATIONAL, PROFESSIONAL, FINANCIAL, OR PERSONAL RESULT.

Nothing in this Agreement excludes any warranty, right, or protection that cannot lawfully be excluded.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUQIVA ACADEMY, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, INSTRUCTORS, CONTRACTORS, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO PARTICIPATION IN EDUQIVA PROGRAMS.

Nothing in this Agreement limits or excludes liability where such limitation or exclusion is prohibited by applicable law.

17. NO EMPLOYMENT OR OTHER RELATIONSHIP

Participation as a student does not create an employment, contractor, partnership, joint venture, fiduciary, agency, or similar relationship between the student and EDUQIVA.

18. CHANGES TO PROGRAMS AND TERMS

EDUQIVA may update these terms from time to time.

When required, EDUQIVA will provide notice of material changes and request renewed acceptance.

The version presented to you when you accept these terms, together with any subsequently accepted version, will govern your participation as provided by applicable law.

19. SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

20. ELECTRONIC ACCEPTANCE

By checking the acceptance box, clicking “I Agree,” “Accept,” “Register,” “Create Account,” or another clearly designated acceptance button, you:

1. confirm that you are eighteen (18) years of age or older;

2. confirm that the registration information you provided is accurate to the best of your knowledge;

3. acknowledge that you have had an opportunity to read this Agreement;

4. acknowledge that you have been provided access to EDUQIVA’s Privacy Policy;

5. agree to comply with this Agreement; and

6. consent to entering into this Agreement electronically.

Your electronic acceptance is intended to have the same legal effect as your physical signature to the extent permitted by applicable law.
