This Teacher Agreement & Code of Conduct (“Agreement”) is entered into between EDUQIVA Academy, Inc. (“EDUQIVA” or the “Academy”) and the undersigned teacher, instructor, tutor, facilitator, or other educational professional (“Teacher”).
EDUQIVA provides live online educational programs, including programs for adults and minors. The safety, privacy, dignity, and well-being of students are fundamental requirements of every EDUQIVA program.
By accepting an assignment with EDUQIVA, Teacher agrees to the following terms.
1. Professional Responsibilities
Teacher shall perform all assigned educational duties professionally, responsibly, respectfully, and in accordance with EDUQIVA policies.
Teacher agrees to:
- Prepare appropriately for each class.
- Begin and end classes on time.
- Maintain a professional learning environment.
- Treat students, parents, guardians, employees, contractors, and other teachers with dignity and respect.
- Use age-appropriate teaching methods, language, materials, and examples.
- Follow EDUQIVA curriculum requirements and reasonable administrative instructions.
- Promptly communicate scheduling or attendance issues through authorized EDUQIVA channels.
Discrimination, harassment, bullying, intimidation, humiliation, threats, retaliation, sexual conduct, or other inappropriate behavior is prohibited.
2. Student Safeguarding
Protecting students, particularly children and teenagers, is a condition of teaching with EDUQIVA.
Teacher shall never engage in conduct that could reasonably endanger, exploit, abuse, manipulate, groom, intimidate, or otherwise harm a student.
Teacher must maintain appropriate professional boundaries at all times.
Any suspected abuse, exploitation, inappropriate conduct, safety concern, or violation of EDUQIVA's safeguarding policies must be reported immediately to EDUQIVA through its designated reporting procedure.
Nothing in this Agreement replaces or limits any reporting obligation imposed on Teacher by applicable law, including any mandatory-reporting obligation that may apply.
3. Communications With Minors
For students under 18, Teacher shall communicate with students only through communication methods authorized by EDUQIVA.
Unless specifically authorized by EDUQIVA for a legitimate educational purpose, Teacher shall not:
- Privately message, text, email, or direct-message a minor student through personal accounts.
- Request or exchange personal telephone numbers with minor students.
- Connect with minor students through personal social-media accounts.
- Engage in private or secret conversations unrelated to legitimate educational activities.
- Arrange an in-person meeting with a minor student.
- Invite a minor student to a private online meeting outside authorized EDUQIVA systems.
- Request photographs, videos, personal information, or other content from a minor except when specifically required for an approved educational activity.
- Give gifts, money, or personal favors to a minor student without EDUQIVA authorization.
- Develop or encourage romantic, sexual, or otherwise inappropriate relationships with any student.
Where direct communication with a minor is necessary for an approved educational purpose, Teacher must follow EDUQIVA's communication procedures, including parental/guardian involvement when required.
4. Online and Live-Video Classes
Teacher shall use EDUQIVA-approved technology and platforms for classes whenever required.
During live-video instruction, Teacher shall maintain a professional environment, including appropriate clothing, background, language, conduct, and materials.
Teacher may not intentionally move a minor student into an unauthorized private video session, private chat, or other private digital environment.
Teacher shall use reasonable security practices and shall not share EDUQIVA meeting links, passwords, student lists, or access credentials with unauthorized persons.
5. Student Privacy and Information
Teacher may receive access to confidential student information, including names, contact information, age, educational information, attendance information, communications, or other personal information.
Teacher shall:
- Access student information only when necessary to perform assigned duties.
- Keep student information confidential.
- Not download, copy, photograph, screenshot, publish, sell, disclose, or distribute student information except as authorized.
- Not maintain unauthorized personal databases or records concerning students.
- Protect passwords and account credentials.
- Promptly notify EDUQIVA of suspected unauthorized access, disclosure, loss, or security incidents.
- Return or securely delete EDUQIVA and student information when instructed or when Teacher's relationship with EDUQIVA ends, subject to applicable legal requirements.
These confidentiality obligations survive termination of this Agreement.
6. Confidentiality
Teacher may receive nonpublic information concerning EDUQIVA's operations, students, sponsors, teachers, curriculum, technology, finances, business plans, internal procedures, partners, or other proprietary matters (“Confidential Information”).
Teacher shall not use or disclose Confidential Information except as necessary to perform authorized EDUQIVA duties.
Confidential Information does not include information that becomes publicly available through no breach of this Agreement or information that Teacher is legally entitled or required to disclose.
Nothing in this Agreement is intended to prohibit legally protected communications or disclosures.
7. Recordings, Photography and Screenshots
Teacher may not independently record, photograph, screenshot, livestream, reproduce, or distribute an EDUQIVA class or student interaction unless expressly authorized by EDUQIVA and all required notices and consents have been obtained.
If EDUQIVA records a class, Teacher agrees that Teacher's name, voice, image, likeness, presentation, and instructional participation may appear in such recordings subject to EDUQIVA's applicable recording policies and any separate authorization required by law.
Recordings involving minors must be handled according to EDUQIVA's student privacy, parental-consent, safeguarding, and retention procedures.
Teacher may not post student images, names, recordings, class screenshots, or student work on personal social media or other public platforms without EDUQIVA's express authorization and any legally required consent.
8. Intellectual Property
Teacher retains ownership of pre-existing materials created independently before providing them to EDUQIVA unless otherwise agreed in writing.
Materials, curriculum, presentations, recordings, documents, software, branding, templates, or other content supplied by EDUQIVA remain the property of EDUQIVA or their respective rights holders.
Ownership and permitted use of materials specifically created by Teacher for EDUQIVA shall be governed by Teacher's applicable employment, independent-contractor, work-for-hire, or intellectual-property agreement.
Teacher shall not use third-party copyrighted materials in EDUQIVA classes unless such use is properly licensed, authorized, or otherwise legally permitted.
9. Attendance and Scheduling
Teacher is expected to attend and conduct all accepted classes according to the assigned schedule.
If Teacher cannot conduct a scheduled class, Teacher shall notify EDUQIVA as soon as reasonably possible through the designated procedure.
Repeated lateness, unexplained absences, failure to attend classes, or abandonment of assigned classes may result in removal from teaching assignments or termination.
Teacher shall not independently appoint substitute instructors without EDUQIVA's authorization.
10. Technology and Account Security
Teacher is responsible for maintaining reasonably reliable internet access, appropriate equipment, and a professional teaching environment unless otherwise agreed.
Teacher shall not:
- Share EDUQIVA usernames or passwords.
- Permit unauthorized persons to access EDUQIVA systems.
- Install malicious or unauthorized software on EDUQIVA systems.
- Attempt to circumvent EDUQIVA security controls.
- Use EDUQIVA technology for unlawful, abusive, or inappropriate purposes.
Suspected security breaches must be reported promptly.
11. Background Checks and Eligibility
Where permitted or required by applicable law or EDUQIVA policy, Teacher may be required to successfully complete identity verification, reference checks, criminal-background screening, sex-offender-registry screening, credential verification, or other lawful screening appropriate to the Teacher's responsibilities.
Any screening will be conducted subject to applicable law and required notices, authorizations, and procedures.
Teacher agrees to provide truthful and accurate information regarding qualifications and credentials.
Providing materially false information may result in disqualification or termination.
12. Reporting Safety or Conduct Incidents
Teacher must promptly report:
- Suspected child abuse or neglect.
- Sexual or inappropriate conduct involving a student.
- Threats of violence or serious safety concerns.
- Harassment, bullying, or discrimination.
- Unauthorized private contact with a minor.
- Serious violations of this Code of Conduct.
- Loss or unauthorized disclosure of student information.
- Unauthorized recordings.
- Significant technology or account-security incidents.
Reports should be made through EDUQIVA's designated safeguarding or administrative channel.
In an emergency involving an immediate threat to a person's safety, Teacher should contact appropriate emergency authorities when necessary.
EDUQIVA prohibits retaliation against a person for making a good-faith safety or misconduct report.
13. Professional Boundaries
The teacher-student relationship must remain professional.
Teacher shall not use the EDUQIVA relationship to solicit students or families for unauthorized private tutoring, investments, business opportunities, donations, romantic relationships, personal services, political activity, or unrelated commercial purposes.
Teacher shall not request loans or money from students or their families.
14. Compensation and Worker Classification
Teacher's compensation, payment schedule, duties, and other financial terms shall be specified separately in writing.
Teacher's legal status as an employee or independent contractor shall be determined by the applicable written engagement agreement and governing law.
Nothing in this Code of Conduct, standing alone, is intended to improperly classify or reclassify a worker.
If Teacher is an independent contractor, the applicable independent-contractor agreement will govern the commercial relationship. If Teacher is an employee, applicable employment policies and laws will govern the employment relationship.
15. No Authority to Bind EDUQIVA
Unless expressly authorized in writing, Teacher has no authority to enter into agreements, incur obligations, make financial commitments, make legal representations, or otherwise bind EDUQIVA.
Teacher may not represent that Teacher is an officer, director, spokesperson, or authorized representative of EDUQIVA unless expressly appointed to such position.
16. Compliance With Laws and EDUQIVA Policies
Teacher shall comply with applicable laws and EDUQIVA policies relevant to Teacher's responsibilities, including policies concerning student safeguarding, privacy, nondiscrimination, harassment, technology, intellectual property, and professional conduct.
Where an EDUQIVA policy conflicts with applicable law, applicable law controls.
17. Investigations and Cooperation
EDUQIVA may review or investigate alleged violations of this Agreement or its safeguarding policies.
Teacher agrees to reasonably cooperate with lawful investigations relating to Teacher's EDUQIVA activities.
Depending on the nature of an allegation, EDUQIVA may temporarily remove Teacher from student contact or teaching assignments while a matter is reviewed.
18. Suspension and Termination
EDUQIVA may suspend or terminate Teacher's teaching privileges or relationship with EDUQIVA in accordance with the applicable employment or contractor agreement and applicable law.
Conduct that may result in immediate removal from student contact includes credible allegations or findings involving abuse, sexual misconduct, exploitation, serious safeguarding violations, unauthorized private contact with minors, violence, serious privacy breaches, fraud, or other conduct creating a significant safety risk.
Termination does not eliminate Teacher's continuing obligations concerning confidentiality, student privacy, intellectual property, or other provisions intended to survive termination.
19. Return and Deletion of Information
Upon termination or EDUQIVA's request, Teacher shall return EDUQIVA property and, subject to applicable law and EDUQIVA instructions, delete EDUQIVA confidential information and student information from Teacher-controlled devices, accounts, and storage locations.
20. Changes to Policies
EDUQIVA may adopt or revise reasonable operational, technology, privacy, safety, and safeguarding policies from time to time. Teacher will be notified of material changes when appropriate and agrees to comply with applicable policies as a condition of continued participation.
21. Governing Agreement
This Code of Conduct supplements Teacher's employment agreement or independent-contractor agreement, if applicable.
If a provision of this Code conflicts with a separately executed employment or contractor agreement, the documents should be interpreted together to the extent possible, subject to applicable law.
22. Acknowledgment and Electronic Acceptance
By signing or electronically accepting this Agreement, Teacher acknowledges that Teacher:
1. Has read and understands this Teacher Agreement & Code of Conduct.
2. Understands EDUQIVA's safeguarding requirements.
3. Agrees to maintain appropriate professional boundaries with students.
4. Agrees not to engage in unauthorized private communication with minor students.
5. Understands the obligation to protect confidential and student information.
6. Agrees to promptly report safeguarding and serious conduct concerns.
7. Understands that violations may result in suspension or termination.
8. Agrees that an electronic signature, checkbox acceptance, or other legally recognized electronic acceptance may constitute Teacher's signature where permitted by law.

Important: This document should be used together with EDUQIVA's Privacy Policy, Student Terms, Parent/Guardian Consent & Minor Student Agreement, Safeguarding/Child Protection Policy, and the applicable Teacher Employment Agreement or Independent Contractor Agreement. It should be reviewed by qualified counsel before implementation, particularly for teachers working with minors or working across multiple U.S. states or countries.
